1. About Yap

Yap is a UGC (user-generated content) marketplace that connects brands with creators. Brands post content briefs describing what they need. Creators apply, produce the content, and get paid when the brand approves. Yap facilitates the transaction and retains a 15% platform fee on every completed job.

2. Eligibility

You must be at least 18 years old to use Yap. By creating an account, you confirm that you are 18 or older and that the information you provide is accurate. Yap reserves the right to suspend or terminate accounts that provide false information.

3. Creator Terms

As a creator on Yap, you agree to the following:

• You will only apply to campaigns you genuinely intend to complete.
• Content you submit must be original, created by you, and must match the brand brief.
• You grant the brand a perpetual, royalty-free license to use the content once payment is released.
• You are responsible for ensuring your content does not infringe on third-party rights, including music, trademarks, or other intellectual property.
• You are permitted one revision per submission. If the brand requests a revision and you resubmit, the brand may only approve or contact Yap support.
• Payouts are released after brand approval. Yap retains 15% and transfers 85% to your connected Stripe account.
• Fraudulent submissions, including reused or AI-generated content submitted as original, will result in immediate account termination and forfeiture of pending payments.

4. Brand Terms

As a brand on Yap, you agree to the following:

• Payment is required upfront when a brief goes live. Funds are held in escrow via Stripe until you approve the content.
• You must review and either approve or request a revision within 7 days of content submission. Failure to respond may result in automatic approval and payment release.
• Revision requests must be reasonable and within the scope of the original brief. You are permitted one revision request per submission.
• Approved content may not be returned for a refund. Refunds are only available if a creator fails to deliver within the agreed deadline.
• You may not use submitted content for purposes beyond the platforms and usage described in your original brief without written agreement from the creator.
• Briefs must not request illegal content or content that violates Yap community standards.

5. Platform Fee

Yap charges a 15% platform fee on every completed transaction. This fee is automatically deducted from the brand payment before the creator payout is processed. The fee covers platform infrastructure, payment processing, creator vetting, and customer support.

6. Payments and Stripe Connect

All payments on Yap are processed through Stripe. Creators must connect a Stripe account to receive payouts. By using Yap, you agree to Stripe's Terms of Service in addition to these terms. Yap is not responsible for delays caused by Stripe or your financial institution.

7. Content Standards

All content created through Yap must comply with applicable laws and must not include anything that is defamatory, obscene, hateful, or infringing. Yap reserves the right to remove any content that violates these standards and to terminate the accounts responsible.

8. Dispute Resolution

If a dispute arises between a creator and a brand, either party may contact Yap support. Yap will review the brief, submission, and communication history and issue a binding resolution. Decisions made by Yap in disputes are final.

9. Account Termination

Yap may suspend or terminate your account at any time for violations of these terms, fraudulent behavior, or any conduct deemed harmful to the platform or its users. You may delete your account at any time by contacting support. Pending payouts or escrow funds at the time of termination will be handled on a case-by-case basis.

10. Limitation of Liability

Yap is provided as-is. To the fullest extent permitted by law, Yap is not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including loss of income, loss of data, or disputes with other users.

11. Changes to These Terms

Yap may update these terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the updated terms. Material changes will be communicated via email or in-app notification.
